本利用規約（以下、「本規約」といいます。）は、シェアハピネス株式会社（以下、「当方」といいます。）が提供するiPhoneおよびiPad用アプリケーション「MidiVisuPlayer」（以下、「本アプリ」といいます。）の利用条件を定めるものです。本アプリをダウンロード、インストール、または使用することにより、利用者は本利用規約（EULA）に同意したものとみなされます。
第1条（規約への同意）
利用者は、ダウンロードおよび使用の時点で本規約に同意したものとみなされます。未成年者は保護者の同意を得る必要があります。また、本規約は利用者と当方の間でのみ締結されるものであり、Apple Inc.（以下「Apple」）との間で締結されるものではありません。Appleは本アプリおよびその内容について一切の責任を負いません。
第2条（サービスおよび課金）
本アプリの基本機能は、広告視聴により無料でご利用いただけます。広告なしおよびプレミアム機能を利用するには、AppleのApp Storeシステムを介して処理されるサブスクリプション（定期購読）が必要です。サブスクリプションは、現在の購読期間が終了する24時間以上前に自動更新をオフにしない限り、自動的に更新されます。
第3条（返金ポリシー）
サブスクリプションの返金手続きはすべて、App Storeの返金ポリシーに基づきAppleによって直接処理されます。当方はいかなる理由であっても返金を行いません。適用される法律で認められる最大限の範囲において、Appleは本アプリに関していかなる保証義務も負いません。
第4条（メンテナンスおよびサポート）
本アプリに関するメンテナンスおよびサポートサービスの提供については、当方が単独で責任を負います。Appleは本アプリに関するメンテナンスおよびサポートサービスを提供する義務を一切負わないことを、利用者は認めるものとします。
第5条（知的財産権および製品請求）
本アプリ、または利用者が本アプリを所有・使用していることが第三者の知的財産権を侵害しているという第三者からの請求がある場合、その調査、防御、和解、および免責については、Appleではなく当方が単独で責任を負います。
第6条（法的遵守）
利用者は、(i) 米国政府の禁輸措置の対象国、または米国政府によって「テロ支援国」として指定されている国に居住していないこと、および (ii) 米国政府の禁止・制限当事者リストに掲載されていないことを表明し、保証するものとします。
第7条（禁止事項）
利用者は、リバースエンジニアリング、デコンパイル、再配布、著作権侵害、またはサーバーに過度な負荷をかける行為を行ってはなりません。
第8条（免責事項および責任の制限）
本アプリは「現状有姿」かつ「提供可能な限度」で提供されます。当方は、端末の不具合、データの損失、または本アプリの利用により生じた損害について、一切の責任を負いません。利用者は自身の責任において本アプリを利用するものとします。
第9条（第三者受益者）
利用者は、AppleおよびAppleの子会社が本規約の第三者受益者であること、また利用者が本規約に同意することにより、Appleが第三者受益者として利用者に本規約を強制する権利を有すること（およびその権利を承諾したものとみなされること）に同意するものとします。
第10条（規約の変更）
当方はいつでも本規約を変更できるものとします。変更の掲載後も本アプリの利用を継続する場合、利用者は新しい規約に同意したものとみなされます。
This End User License Agreement ("Agreement") governs the use of the "MidiVisuPlayer" application ("Application") for iPhone and iPad provided by Share Happiness Co., Ltd. ("Company"). By downloading, installing, or using the Application, the user ("User") is deemed to have agreed to the terms of this Agreement.
Article 1 (Consent to Terms)
The User is deemed to have agreed to this Agreement at the time of downloading and using the Application. Minors must obtain consent from a parent or legal guardian prior to using the Application. This Agreement is concluded solely between the User and the Company, and not with Apple Inc. ("Apple"). Apple bears no responsibility whatsoever for the Application or its content.
Article 2 (Services and Billing)
The basic features of the Application are available free of charge through ad viewing. Access to ad-free and premium features requires a subscription processed through Apple's App Store system. Subscriptions automatically renew unless auto-renewal is turned off at least 24 hours prior to the end of the current subscription period.
Article 3 (Refund Policy)
All refund procedures regarding subscriptions are handled directly by Apple in accordance with the App Store refund policy. The Company does not issue refunds for any reason. To the maximum extent permitted by applicable law, Apple has no warranty obligations whatsoever regarding the Application.
Article 4 (Maintenance and Support)
The Company is solely responsible for providing maintenance and support services for the Application. The User acknowledges that Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the Application.
Article 5 (Intellectual Property Rights and Product Claims)
In the event of any third-party claim that the Application or the User's possession and use of the Application infringes that third party's intellectual property rights, the Company—and not Apple—shall be solely responsible for the investigation, defense, settlement, and discharge of any such claim.
Article 6 (Legal Compliance)
The User represents and warrants that (i) they are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country, and (ii) they are not listed on any U.S. Government list of prohibited or restricted parties.
Article 7 (Prohibited Actions)
The User shall not engage in reverse engineering, decompiling, redistributing, copyright infringement, or placing excessive loads on the server.
Article 8 (Disclaimer and Limitation of Liability)
The Application is provided on an "AS IS" and "AS AVAILABLE" basis. The Company assumes no liability for device malfunctions, loss of data, or damages arising from the use of the Application. The User shall use the Application at their own risk and responsibility.
Article 9 (Third-Party Beneficiary)
The User agrees that Apple and Apple's subsidiaries are third-party beneficiaries of this Agreement. Upon the User's acceptance of this Agreement, Apple will have the right (and will be deemed to have accepted the right) to enforce this Agreement against the User as a third-party beneficiary.
Article 10 (Amendments to Terms)
The Company reserves the right to modify this Agreement at any time. If the User continues to use the Application after changes are posted, the User is deemed to have agreed to the revised Agreement.
